Terms of Service

The agreement between you and us for using Paradraw. It includes the acceptable use rules, and it is the one place the liability cap, governing law and change rules are stated.

1 Who we are and what this covers

Paradraw is a service of Up Strategy Lab AB (org. nr 559172-7218), Nordhemsgatan 56, 413 09 Göteborg, Sweden ("we", "us"). It is not a separate company yet. If that changes we will tell you under section 15, and these terms will move to the new company only with that notice.

These terms cover the website, the public directory and the application, whether or not you have an account. By creating an account or using the application, you accept them for yourself and for the business you act for.

Paradraw is for businesses. It is not offered to consumers.

2 The documents that make up the agreement

The agreement is these Terms, the Data Processing Agreement (which applies when you upload documents), and any order you place through the application. The Privacy Notice explains how we handle personal data as a controller; it is information, not part of the agreement.

If they conflict: the Data Processing Agreement wins on the processing of personal data in documents you upload; these Terms win on everything else; an order wins only on price and what you bought.

3 What Paradraw does

Paradraw reads legal documents — a company’s published pages, or documents you upload — and describes how they fit together: which document refers to which, what is named but not published, and where documents say different things about the same subject.

What Paradraw produces are observations about documents. They are not legal advice, and they do not say whether anything is lawful or enforceable. Some readings are made by AI models, and are marked as such; they can be wrong, and every one quotes the clauses it rests on so you can check it. Decisions you take on them are yours.

Paradraw is early. We will fix what is broken and tell you about planned downtime when we can, but we do not promise it will always be available or error-free.

4 Your account

Keep your password to yourself and tell us at once if you think someone else has used your account. You are responsible for what is done through it.

Access is by invitation while Paradraw is in early access. We can decline an account without giving a reason.

5 Documents you upload

Documents you upload stay yours. You give us permission to store and process them only to provide Paradraw to you: to read them, draw them, suggest changes, keep the revisions you make and export them.

Uploaded documents and everything drawn from them are private to your account. They are never listed in the directory, never shown to other users, and never used to train AI models — by us or by the model providers we use.

Uploaded documents are read by the AI providers listed in the Data Processing Agreement for uploads, and by no others. In particular, the second model we use to re-check public readings is not used for uploads.

You confirm you have the right to upload what you upload. Where it contains personal data, the Data Processing Agreement applies and we act as your processor.

6 Public readings of companies

The directory contains readings of companies’ publicly available legal pages, made without those companies’ involvement. Public readings show the structure of what a company publishes: its documents, how they refer to each other, and what they name but do not publish. Readings that compare what documents say are not shown publicly.

Every public reading shows the date it was made. It describes the pages as they were on that date.

If you represent a company in the directory, you can claim its page and put your reply on the record, unedited, next to the finding it answers. You can also tell us a reading is wrong. We look at every correction, and we fix what is wrong and say so.

7 Acceptable use

You must not:

  • upload anything you have no right to share, or that is unlawful;
  • use Paradraw to harass anyone, or present a reading as something it is not — for example as legal advice, or as a finding about a company that the reading does not make;
  • try to get at other accounts, other users’ documents, or parts of the service you are not given;
  • scrape the service, overload it, or get round its limits;
  • test the security of the service without our written agreement. If you find a vulnerability, tell us at the address in section 16 — we are glad to hear it.

If you break these rules we can suspend your account. Unless the risk is urgent, we will tell you first and give you a chance to put it right.

8 What is ours

Paradraw — the software, the drawings, the method and the public readings — belongs to us. Exports you make from your own uploaded documents are yours to use as you like.

9 Paying

Prices are shown before you buy. Paid plans renew each period until cancelled and can be cancelled at any time; cancelling stops the next renewal and you keep access until the end of the period already paid. Credits for single reads are used when a read starts and do not expire while your account is open.

Payments are handled by Stripe. Prices are exclusive of VAT, which is added where it applies.

If a read fails for a reason on our side, the credit goes back to your account.

10 How long we keep things, and training

Uploaded documents, their revisions and their analyses are kept until you delete them or close your account. When you do, we delete them within 30 days, including from backups. You can export them before you go.

We do not use your uploaded documents, or anything drawn from them, to train AI models, and we only use model providers whose terms do not allow them to either.

How we handle personal data about you as a user is in the Privacy Notice.

11 Security

We protect the service and your documents with the measures set out in the Data Processing Agreement. If a security incident affects your uploaded documents, we tell you without undue delay, and in any case within 72 hours of becoming aware of it.

12 Liability

Each of us is liable to the other only for direct loss, and only up to the greater of the fees you paid us in the 12 months before the claim and 10,000 Swedish kronor.

Neither of us is liable for loss of profit, revenue, business or data, or for indirect loss.

These limits do not apply to loss caused by gross negligence or wilful misconduct, to your payment obligations, or to anything the law does not allow to be limited. This is the only limitation of liability in the agreement; the Data Processing Agreement is subject to it too.

13 Ending the agreement

You can close your account at any time. We can end the agreement with 30 days’ notice, or at once if you seriously break it and do not put it right within 14 days of our telling you.

When it ends, section 10 applies to your documents. Sections 8, 12 and 16 continue after it ends.

14 Governing law and disputes

Swedish law governs the agreement, and the Data Processing Agreement. Disputes go to the courts of Sweden, with Göteborgs tingsrätt (Gothenburg District Court) as the first instance. This is the only governing-law and forum clause in the agreement.

15 Changes to these documents

We may change these Terms, the Data Processing Agreement, the Privacy Notice and the list of sub-processors. For any change that affects your rights, we tell you by email at least 30 days before it takes effect. If you do not accept it, you can close your account before then and we refund any fees paid for the time after it. Changes that only correct errors or add a service may take effect sooner.

This notice period applies to every one of our legal documents. None of them has a different one.
