·Permanent link: Annex 1. Details of Processing Activities
·This Annex describes Processing in connection with the Services provided to Company under the Agreement. The categories, activities, and purposes below apply only to the products and features Company uses, the integrations and data sources it enables, and its documented instructions. A category listed for one product does not apply to another product merely because both are covered by this DPA. For example, Company's use of a standalone SaaS product does not, by itself, involve the financial services platform Processing described below. References to files, code, credentials, business records, and other information apply only to the extent that information includes or constitutes Personal Data.

·Data importer(s):
·Permanent link: 2. Description of Transfer
·The categories of Data Subjects whose Personal Data is Processed include: (1) Company's personnel, including employees, contractors, administrators, and other Authorized Users; (2) Company's customers, prospects, end users, suppliers, vendors, payees, and other transaction counterparties; and (3) correspondents and other natural persons whose Personal Data is contained in information Company or its Authorized Users submit, connect, retrieve, or generate through the Services, including users of Company's applications and individuals identified in documents, repositories, records, communications, prompts, or outputs. These categories apply only to the extent relevant to Company's use of the Services.
·Shared categories applicable across Services:
·Product-specific categories, in addition to the applicable shared categories: Services | Categories of Personal Data
| Financial services platform and related software features, including cards, spend management, reimbursements, travel, bill pay, accounts receivable, procurement, and accounting | Financial account, payment, and transaction information, including for reimbursements, repayments, and vendor or payee payments; card and account identifiers; purchase details, amounts, dates, merchants, and locations; connected transaction histories, statements, and balances; receipts, invoices, contracts, purchase orders, attachments, and extracted information; tax documentation and classification; spend allocations, requests, approver identities, decisions, notes, timestamps, and accounting classifications; travel profile, preference, itinerary, and booking information, including date of birth, gender, redress and loyalty numbers, travel dates, destinations, lodging, rental details, and associated communications; and photographs (submitted to the Services or through camera-roll receipt capture). |
|---|---|
| Token Spend Management (TSM) | AI-provider account user name, email, team, and API-key identifiers or labels; key ownership and connection details; provider and model identifiers; key-control events, actor and timestamp records, and related reports and insights. |
| Router | Personal Data in model requests, prompts, instructions, conversation context, submitted source material, responses, and supported tool-call arguments and results; account, user, project, session, and request identifiers. |
| Stack | Personal Data in financial and accounting records processed on Company's instructions for bookkeeping, including bank statements and transactions, expense and reimbursement records, invoices, general-ledger and journal-entry records, accounting classifications, reconciliation records, and payroll records where supported workflows or enabled integrations are used. |
·The Personal Data contained in customer-provided or connected content and generated outputs depends on Company's instructions and use of the applicable Services. This description includes other Personal Data provided or made available by or on behalf of Company or its Authorized Users, or generated in carrying out their instructions, subject to the sensitive-data restrictions below.
·Sensitive data transferred (if applicable) and applied restrictions or safeguards that fully take into consideration the nature of the data and the risks involved, such as for instance strict purpose limitation, access restrictions (including access only for staff having followed specialised training), keeping a record of access to the data, restrictions for onward transfers or additional security measures.
·Shared categories applicable across the Services:
·Product-specific categories, in addition to the applicable shared categories:
| Services or features | Permitted sensitive Personal Data and purpose limitations |
|---|---|
| Finance services platform | Financial account numbers for the supported payment, reimbursement, or repayment workflow; individual government or taxpayer identification numbers; precise geolocation (when mileage reimbursement is enabled). |
| Travel | Known traveler and redress numbers; driver's license, passport, national ID, or other government-issued identification numbers required for the enabled travel service. |
·Inferences or other derived data that meet the definition of Personal Data and that reveal a permitted sensitive category are subject to the same product and purpose limitations as that category and are handled in accordance with the source data. Other sensitive or special category Personal Data not listed above, including protected health information, information of minors, or biometric identification data, remain restricted under Section 2(b)(2).
·Safeguards and restrictions: Sensitive Personal Data is subject to the applicable purpose limitations in this Annex, Company's documented instructions for Processor activities, and the access controls, access logging, encryption, personnel training, and other applicable measures set out in Annex 3. Onward disclosure by Ramp in its capacity as Processor is subject to Section 4(d), Company's documented instructions, and the applicable international-transfer provisions.
·The frequency of the transfer (e.g. whether the data is transferred on a one-off or continuous basis)
·Personal Data is transferred on an ongoing basis during Company's use of the applicable Services.
| Shared functions | Administer customer users, permissions, and authorized connections; carry out Company's instructions; provide customer-directed support, activity records, and reporting. |
|---|---|
| Financial platform and related software features | Perform customer-directed spend, reimbursement, travel, bill-pay, accounts receivable, procurement, accounting, document-processing, approval, analytics, and reporting tasks and workflows. |
| TSM | Import, attribute, analyze, and report AI usage and costs; provide historical trends, allocation insights, alerts, and configured usage or key controls. |
| Router | Transmit requests to the applicable AI providers and return responses; implement configured routing, model choices, quotas, and spend controls; and provide request history or analysis to Company where enabled. |
·The period for which the Personal Data will be retained, or, if that is not possible, the criteria used to determine that period.
·Retention depends on the applicable Service, category of Personal Data, purpose of Processing, and any retention or deletion terms agreed with Company. For Processor activities, Ramp retains Personal Data as necessary to provide the applicable Services in accordance with Company's documented instructions, available settings, and Section 4(g). Relevant criteria include: (1) whether content is needed only to fulfill a request or is retained for an enabled history, memory, collaboration, or artifact feature; (2) the period needed for historical usage, cost, transaction, or workflow reporting; (3) the continued need for credentials to maintain an authorized connection; and (4) the applicable periods for access records, operational logs, and backups. Where available in certain Services, disabling content storage does not itself eliminate transient Processing or separately applicable retention of usage data, metadata, or security records, and disconnecting a source does not itself determine the deletion of previously imported information.
·Post-termination retention and deletion, including backups and applicable legal, fraud, security, and rights-protection exceptions, are governed by Section 4(g) and other relevant terms in the Agreement and any applicable product-specific terms agreed with Company. For Controller activities, retention is determined by the applicable purpose under Section 3(a), legal requirements, and the criteria described in the applicable privacy notice. Ramp-side settings do not by themselves establish the retention practices of an independently customer-engaged AI provider or connected service.
·For transfers to (sub-) processors, also specify subject matter, nature and duration of the processing
·For transfers by Ramp to Subprocessors, the subject matter, nature, purposes, and duration of Processing are the applicable Services, data categories, activities, purposes, and retention criteria described in this Annex, subject to Section 4(d) and the Agreement. The applicable Subprocessors are identified through the List referred to in Section 4(d). Where Company independently engages an AI provider or connected service and directs Ramp to transmit Personal Data to it, that recipient's Processing is governed by its agreement with Company; Ramp's own Processing remains governed by this DPA. The use of a customer-supplied API key or access token alone does not determine a data recipient's role or contractual relationship.
