·By participating in Intercom's Referral Program (the "Referral Program"), you, as the Referrer or Referred User (both as defined below), agree to be bound by these Referral Program Terms and Conditions ("Referral Terms"). In addition, your participation in the Referral Program is subject to your compliance with the Intercom Terms of Service and Acceptable Use Policy.
·This Referral Program allows an existing Intercom customer ("Referrer") the opportunity to earn account credits that can be applied toward the Referrer's future Intercom services fees ("Referral Credits") by referring others to become new Intercom customers by using a valid referral link and meeting the eligibility criteria set forth below (each, a "Referred User"), subject to the terms and conditions set forth below.
·Qualifying Referred Users can also earn account credit that can be applied toward future Intercom services fees, as further set forth below.
·Referrers and Referred Users who each meet the Qualifying Criteria (set forth below) can earn Referral Credits if all Qualifying Referral (described below) conditions are satisfied.
·Every Qualifying Referral is subject to independent verification by Intercom. All decisions regarding Referral Credits, Qualifying Referrals and/or participation in the Program will be at Intercom's sole discretion.
·For each Qualifying Referral, Referrer will be credited US$250 (for a maximum of US$1,250, except as otherwise provided herein) in Referrer's Intercom account associated with the Referrer's Referral Link only after all of the Qualifying Criteria have been satisfied. Each Referral Credit will be made available to the Referrer following a clearance period of up to 30 days after the applicable Referred User's first qualifying purchase. If your Referred User was also referred by another customer, you will earn credits only if the Referred User makes their first qualifying purchase through your Referral Link. If the user uses another customer's referral link to join, you will not receive any credits. Once a Referrer has received US$1,250 in Referral Credits, any additional Referral Credits will not be granted (regardless of whether they satisfy the Qualifying Referral criteria), unless otherwise approved by Intercom.
·If you are a Referred User, you are eligible to receive one (1) US$250 Referral Credit. The Referral Credit will be applied to your (Referred User's) Intercom account only after all of the Qualifying Referral conditions set forth above have been satisfied.
·Any Referral Credits you (as the Referrer or Referred User) earn will automatically be applied to the balance of your Intercom account, and each Referral Credit will offset the amount due by one U.S. Dollar (US$1), up to the total account balance. If your payment is later refunded for any reason, the maximum refund you may receive is the amount you actually paid. Except to the extent required by applicable law, Referral Credits are not redeemable for cash, non-transferable, non-refundable, not substitutable, and may not be sold for any purpose. Void where restricted or prohibited by law. The Referral Credits may not be used or combined with any other promotion, including, without limitation, the Fin money-back guarantee.
·Each Referrer and Referred User is solely responsible for the payment of any taxes associated with the receipt of the Referral Credits, and Intercom shall have no liability or obligation to pay or withhold any taxes on your behalf.
·Your participation in the Referral Program is subject to your compliance with these Referral Terms, any requirements pertaining to the Referral Program posted by Intercom and all applicable laws, guidelines and regulations, including, but not limited to, regulations regarding electronic messaging and anti-spam and privacy laws. Without limiting the generality of the foregoing, when participating in the Referral Program:
·You may not share Referral Links via text messaging. You agree to comply with all applicable laws when sharing your Referral Links.
·Referral Links may not be published or distributed on commercial websites (such as coupon websites, deal aggregator websites, or Reddit). Don't spam anyone with Referral Links, including mass emailing or messaging people you do not know or using automated systems or bots through any channel to distribute your Referral Link.
·You may not pay anyone to advertise your Referral Link, including, without limitation, a professional affiliate marketer.
·You may not misrepresent the truth about your experience using Intercom, that you may receive a benefit from Intercom when the Referred User signs up or anything else when sharing Referral Links.
·You may not submit incomplete or untruthful registration information; refer yourself nor any of your affiliated entities; attempt to obtain Qualified Referrals through "dummy" email accounts and/or make multiple attempts to register by the same person under different names or different email addresses.
·We reserve the right to immediately suspend or terminate you from the Referral Program if we notice distribution of your Referral Link in objectionable or inappropriate ways or other activity that is determined to be abusive, fraudulent and/or in violation of the Referral Terms, Intercom Terms of Service and/or our Acceptable Use Policy. We reserve the right to investigate all referral activities as we deem fair and appropriate in our sole discretion, and you will provide us with information reasonably necessary to verify compliance with these Referral Terms. Further, we reserve the right to deactivate or invalidate your Referral Credits and those of your Referred User(s) and, to the maximum extent permitted by applicable law, charge your payment method for any amounts paid for with invalidated Referral Credits.
·We reserve the right to modify these Referral Terms at any time in our sole discretion. If we amend these Referral Terms, we will post the updated version on the Services or notify you as required by law. Continued participation in the Referral Program after any modification will constitute consent to such modification. Further, we may suspend or terminate this Referral Program (in whole or in part), or your ability to participate in the Referral Program, at any time.
