·Ad Credit Terms

·By accepting or using an Ad Credit, you agree to these terms and the applicable Offer (together, the "Ad Credit Terms"). Ad Credits are also subject to the Advertising Terms. Capitalized terms not defined here have the meanings given in the Advertising Terms.

11. Eligibility. To receive or use an Ad Credit, your account must be in good standing, as determined by OpenAI in its sole discretion, and you must meet the eligibility and spending requirements in the applicable Offer. Ad Credits may be applied only to Eligible Fees in the designated account and do not count toward any spending requirements.

22. Application. OpenAI may automatically apply Ad Credits to Eligible Fees. Each Ad Credit may be redeemed only once. You remain responsible for any Fees not covered by an Ad Credit.

33. Taxes. Applicable VAT, GST, sales tax, and similar indirect taxes will be calculated on the Fees net of any Ad Credit applied to those Fees, except where applicable law requires otherwise. You remain responsible for any Taxes not covered by, or not eligible for payment with, an Ad Credit, and we may charge those Taxes to your designated payment method.

44. Expiration; No Stacking. Unless the applicable Offer states otherwise, Ad Credits expire 90 days after issuance, and any unused balance is forfeited. Ad Credits may not be combined with other credits, coupons, discounts, rebates, incentives, or makegoods.

55. No Cash Value; No Transfer. Ad Credits are nonrefundable, nontransferable, have no cash value, cannot be redeemed for cash, confer no property rights, and are not currency or stored value. OpenAI will not replace, reinstate, or pay for unused, expired, suspended, revoked, or voided Ad Credits.

66. Suspension; Revocation. OpenAI may suspend, revoke, or void Ad Credits for (a) a violation of the Ad Credit Terms, Advertising Terms, OpenAI Policies, or applicable law; or (b) nonpayment, fraud, misuse, unauthorized sale or transfer, issuance or application errors, or conduct inconsistent with the applicable Offer. You remain responsible for Fees previously offset by any suspended, revoked, or voided Ad Credit.

77. Modification; Termination. Subject to applicable law, OpenAI may modify, suspend, or terminate an Offer or correct issuance or application errors. OpenAI may update these Ad Credit Terms by posting a revised version. Ad Credits do not entitle you to price matching, retroactive true-ups, or credits or incentives offered to other customers. 8. Definitions

·"Ad Credit" means a promotional advertising credit issued by OpenAI for use toward Eligible Fees.

·"Advertising Terms" means OpenAI's Advertising Terms available at https://openai.com/policies/advertising-terms or, if applicable, another written agreement between you and OpenAI governing the Advertising Services.

·"Eligible Fees" means Fees for Advertising Services incurred after an Ad Credit is issued and before it expires, for the account and Advertising Services specified in the applicable Offer, excluding taxes, past-due, disputed, or refunded amounts, invalid activity adjustments, and amounts paid or offset using other credits, coupons, discounts, makegoods, or incentives.

·"Offer" means the email, promotional offer, or other communication from OpenAI making an Ad Credit available.
