·Thank you for your interest in becoming a HubSpot User Group (HUG) Leader or Trends Connector. Being a HUG Leader or Trends Connector is a rewarding and sometimes demanding experience. To ensure that we continue to provide a world-class experience to all of our passionate attendees, we ask that you take the time to understand what will be expected of you as a HUG Leader or Trends Connector. That's where this HUG Program Agreement comes in.
·The HUG Program Agreement contains the terms and conditions that you must agree to and abide by in order to be a HUG Leader or Trends Connector. It is a legal document so some of the language is necessarily "legalese" but we have tried to make it as readable as possible. These terms are so important that we cannot have you participate as a HUG Leader or Trends Connector unless you agree to them. By participating as a HUG Leader or Trends Connector, you are agreeing to these terms and also agree to and accept the following: our HUG Guidelines or Trends Connectors Guidelines (as applicable), our Acceptable Use Policy, and our Business Partner DPA ("Additional Terms") (collectively with this HUG Program Agreement, the "Agreement"). If there's a conflict between the Additional Terms and this HUG Program Agreement, the HUG Program Agreement shall control.
·We periodically update these terms and you can find the most recent version here.
·"HUG Guidelines" means the guidelines applicable to HUG Leaders, as in effect from time to time, which we will publish at https://offers.hubspot.com/hug-leader-guidelines or other website we may designate.
·"Trends Connector Guidelines" means the guidelines applicable to Trends Connectors, as in effect from time to time, which we will publish at https://trends.co/trends-connectors/ or other website we may designate.
·"We", "us" or "our" means HubSpot, Inc.
·"You" or "your" means the individual (if you are participating as an individual) or company (if you are participating as a company employee) that agrees to these program terms. You understand that if you are participating as a company employee and then leave the company, this Agreement and your position as a HUG Leader or Trends Connector will remain with the company, and may not be transferred to you as an individual without the company's consent. We may, in our absolute discretion, determine your eligibility for such transfer.
·As a HUG Leader or Trends Connector (referred to herein as a "Program Leader"; the HUG and Trends Connector programs are referred to herein as the "Program(s)"), you will be required to meet certain eligibility criteria and requirements that are described in detail in the HUG Guidelines or Trends Connector Guidelines, as applicable. In exchange, we will provide the benefits described in the HUG Guidelines under "HubSpot Support" or Trends Connector Guidelines under "Trends Support", as applicable. If you fail to maintain your eligibility criteria, or fail to meet the requirements, we may suspend or terminate your participation. We will review your performance annually as described in the HUG Guidelines or Trends Connector Guidelines, as applicable.
·Once you are approved to be a Program Leader, and while you are a Program Leader in good standing you will be given access to a third-party solution selected by us for you to use to promote your HUG or Trends events, collect registrations, perform check-in, and email attendees. You may be required to provide your information to the third-party solution to set up your account ("Account"). You agree that all of your use of your Account is subject to the terms of that third-party's services. We disclaim all liability and claims for your use of the third-party solution.
·You agree that you will only use your Account to manage Program-related data, and will not use any other database or service to manage any Program-related data. You further agree that when using your Account and when conducting any Program-related activity you will comply with all applicable privacy laws and regulations. Additionally, you must comply with our GDPR Guidelines located at: https://www.hubspot.com/data-privacy/gdpr.
·While we might make a third-party solution available to you to use in accordance with this Agreement, this solution and all intellectual property related to it belong to and are the property of us or our licensors (if any).
·All content developed by you in connection with your role as a Program Leader, including (without limitation) the HUG logo and Trends logos, will be owned by us and you hereby irrevocably transfer, assign and convey to us the exclusive copyright ownership in such materials, without the necessity of any further consideration.
·You grant to us a nonexclusive, nontransferable, royalty-free right to use and display your trademarks, service marks and logos ("Your Marks") in connection with the Program and as we may otherwise choose.
·While you are a Program Leader in good standing, you may use our trademark as long as you follow the usage requirements in this section. You must: (i) comply with the HUG Guidelines or Trends Connector Guidelines "Collateral Dos and Don'ts" and "Branding Guidelines" or "Collateral Guidelines" (as applicable); (ii) only use the images of our trademark that we make available to you for use in Program collateral, without altering them in any way; (iii) only use our trademarks in connection with your activities as a Program Leader; and (iv) immediately comply if we request that you discontinue use or alter use due to updated brand marks. You must not use any of our trademarks: (a) in a misleading or disparaging way; (b) outside the scope of the Program(s) or this Agreement; (c) in a way that implies we endorse, sponsor or approve of your services or products; or (d) in violation of applicable law or in connection with an obscene, indecent, or unlawful topic or material.
·While we endeavor to give you the opportunity to continue to participate in the Program(s) if you meet or exceed expectations, we may choose to discontinue your participation or the Program(s) generally at any time in our discretion by notifying you. We may immediately suspend or discontinue your participation in the Program(s) at any time if you fail to comply with this Agreement or any portion of it, or if we determine that you are acting in a way that has or may negatively reflect on or affect us, our prospects, or our customers.
·You will indemnify, defend and hold us harmless, at your expense, against any third-party claim, suit, action, or proceeding (each, an "Action") brought against us (and our officers, directors, employees, agents, service providers, licensors, and affiliates) by a third party not affiliated with us to the extent that such Action is based upon or arises out of your participation as a Program Leader. We will: notify you after becoming aware of any such claim; give you sole control of the defense or settlement of such a claim; and provide you (at your expense) with any and all information and assistance reasonably requested by you to handle the defense or settlement of the claim. You shall not accept any settlement that (i) imposes an obligation on us; (ii) requires us to make an admission; or (iii) imposes liability not covered by these indemnifications or places restrictions on us without our prior written consent.
·WE AND OUR AFFILIATES AND AGENTS MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE PROGRAM(S) OR YOUR PARTICIPATION AS A PROGRAM LEADER. TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR BUSINESS OPPORTUNITIES. IF, NOTWITHSTANDING THE OTHER TERMS OF THIS AGREEMENT, WE ARE DETERMINED TO HAVE ANY LIABILITY TO YOU OR ANY THIRD PARTY, THE PARTIES AGREE THAT OUR AGGREGATE LIABILITY WILL BE LIMITED TO ONE HUNDRED DOLLARS.
·We may update and change any part or all of this Agreement at any time without notifying you first. If we update or change this Agreement, the updated Agreement will be posted at http://legal.hubspot.com/hug-program-agreement. The updated Agreement will become effective and binding on the next business day after they are posted. When we change this Agreement, the "Last Modified" date above will be updated to reflect the date of the most recent version. We encourage you to review this Agreement periodically.
·This Agreement shall be governed by the laws of the Commonwealth of Massachusetts, without regard to the conflict of laws provisions thereof. In the event either of us initiates an action in connection with this Agreement or any other dispute between the parties, the exclusive venue and jurisdiction of such action shall be in the state and federal courts in Boston, Massachusetts.
·Both you and we agree that no joint venture, partnership, employment, or agency relationship exists between you and us as a result of your agreement to this Agreement.
·You shall comply with all applicable foreign and domestic laws (including without limitation export laws and laws applicable to sending of unsolicited email), governmental regulations, ordinances, and judicial administrative orders. You shall not engage in any deceptive, misleading, illegal or unethical marketing activities, or activities that otherwise may be detrimental to us, our customers, or to the public.
·This Agreement sets forth the entire agreement between us in relation to your participation as a Program Leader and supersedes all other proposals and agreements related to your participation as a Program Leader, whether electronic, oral or written, between us.
·You will not assign or transfer this Agreement, including any assignment or transfer by reason of merger, reorganization, sale of all or substantially all of its assets, change of control or operation of law, without our prior written consent.
·Nothing in this Agreement, express or implied, is intended to or shall confer upon any person or entity (other than the parties hereto) any right, benefit or remedy of any nature whatsoever under or by reason of your agreement to this Agreement.
·We grant to you only the rights and licenses expressly stated in this Agreement, and you receive no other rights or licenses with respect to us, our products or services, our trademarks, or any other property or right of ours.
·Each party represents and warrants to the other that it has full power and authority to agree to this Agreement and that they are binding upon such party and enforceable in accordance with their terms.

·This HubSpot Acceptable Use Policy ("AUP") applies to the use of any product, service or website provided by us (HubSpot), whether we provide it directly or use another party to provide it to you (each, a "HubSpot Service"). This AUP is designed to ensure compliance with the laws and regulations that apply to the HubSpot Service. This AUP also protects the interests of all of our clients and their customers, as well as our goodwill and reputation. These terms are so important that we cannot provide the HubSpot Service unless you agree to them. By using the HubSpot Service, you are agreeing to these terms. 1. Reporting Suspected Violations

·If you are using any HubSpot Service, this AUP applies to you. Every customer and user agrees to abide by this AUP and is responsible for any violations. You are not allowed to assist or engage others in a way that would violate this AUP. We will enforce and ensure compliance with this AUP by using methods we consider to be appropriate, such as complaint and email failure monitoring. We may also suspend or terminate your use of HubSpot Services pursuant to our Customer Terms of Service for violations of this AUP.
·We periodically update these terms and we will let you know when we do through the Notification app in your HubSpot account (if you have one), or by posting a revised copy on our website. You agree to review the AUP on a regular basis and always remain in compliance. 1. REPORTING SUSPECTED VIOLATIONS
·We encourage recipients of email messages sent using the HubSpot Service to report suspected violations of this AUP to us by forwarding a copy of the received email with FULL headers to abuse@hubspot.com. We have a policy to investigate all of these reports and to respond in the way we consider appropriate.
·If you know of or suspect a violation of this AUP, you will promptly notify us in writing of the known or suspected violation of this AUP.
22. EMAIL REQUIREMENTS AND PROHIBITED ACTIONS
2.12.1 Spam Prohibited. You may not use HubSpot to send spam.
2.22.2 Email Integrity. You may not use any misleading or false names, addresses, email address, or subject line.
2.32.3 Anti-Spam Policy. You will comply with the HubSpot Anti-Spam Policy available at https://legal.hubspot.com/anti-spam-policy, as updated by us from time to time. 3. TELEPHONE, TEXTING, AND MESSAGING
3.13.1 Telephony Compliance. If you use the HubSpot Subscription Service to place telephone calls, text messages, or other supported messaging, you must comply with all applicable:
·(i) laws relating to telephone calling, texting, and any other message marketing, including applicable local, state, national or international laws (e.g., the CAN-SPAM Act, TRAI, TCPA or other similar laws and regulations applicable to you);
·(ii) laws related to the recording of phone calls and ensure all proper consent to record is obtained prior to making any such recording;
·(iii) policies and guidelines of third party service providers, such as network operators and carriers; and
·(iv) industry standards, including those applicable guidelines published by the CTIA and the Mobile Marketing Association.
3.23.2 Emergency Services Prohibited. You are prohibited from using or permitting access to use the HubSpot Subscription Service to make emergency calls or to provide or seek emergency services.
3.33.3 Telephony Compliance Penalties. You are solely responsible for any penalties or fines incurred as a result of your non-compliance with third party service providers' policies and guidelines. In addition to the other termination and suspension rights in this AUP, HubSpot may suspend or terminate your access to the Telephone and texting services if (i) HubSpot receives repetitive complaints from your recipients or third party service providers; or (ii) HubSpot receives an instruction from a third party service provider to suspend or terminate your access to the service. 4. NO DISRUPTION
4.14.1 Non-Disruptive Use. You agree not to engage in any of the following activities:
·(i) use the HubSpot Service in a way that impacts the normal operation, privacy, integrity or security of another's property. Another's property includes another's account(s), domain name(s), URL(s), website(s), network(s), system(s), facilities, equipment, data, other information, or business operations;
·(ii) use or launch any automated system, including, "robots," "spiders," or "offline readers," that sends more request messages to our servers in a given period of time than a human can reasonably produce in the same period by using a conventional browser (also for example, scraping or harvesting);
·(iii) use the Subscription Service in any manner that damages, disables, overburdens, or impairs any of our websites or interferes with any other party's use of the Subscription Service;
·(iv) attempt to gain unauthorized access to the Subscription Service;
·(v) access the Subscription Service using another User's unique login credentials, including reusing or sharing unique login credentials among multiple users;
·(vi) violate, or cause us to be in violation of, applicable trade and sanctions laws, and you will not:
·(a) allow any Users to access the HubSpot Service from an embargoed country or region or where such use is restricted by applicable trade law, or
·(b) allow access to the HubSpot Service to any person or entity included in a list of restricted parties maintained by the U.S. government, the European Union, the United Kingdom, the United Nations, or similar regulatory entities; or
·(c) directly or indirectly export, re-export, or transfer the Subscription Service or Consulting Services to prohibited countries, regions, or individuals or permit use of the Subscription Service or Consulting Services in or by prohibited countries, regions, or individuals.
·(vii) access the Subscription Service other than through our interface;
·(viii) use the HubSpot Service to gain unauthorized access to, use, monitor, make an unauthorized reference to, another's property, unless you have the appropriate express prior consent to do so; or
·(ix) use the HubSpot Service in a way that causes or may cause any HubSpot IP addresses, HubSpot domains, or HubSpot customer domains to be blacklisted.
·Examples of prohibited actions include (without limitation) include hacking, spoofing, denial of service, mailbombing and/or sending any email that contains or transmits any virus or propagating worm(s), or any malware, whether spyware, adware or other such file or program.
·These restrictions apply regardless of your intent and whether or not you act intentionally or unintentionally. 5. PROPER USAGE OF THE HUBSPOT SERVICE
5.15.1 Sensitive Data Acceptable Use. If you store any information belonging to a sensitive category of information under applicable law relating to privacy or data protection, you must adhere to the standards and obligations reflected in the HubSpot Sensitive Data Terms available at https://legal.hubspot.com/sensitive-data-terms. For the avoidance of doubt, you may not (directly or indirectly) use the HubSpot Service in a way that (i) uses Permitted Sensitive Data in a service or feature not expressly permitted by HubSpot Sensitive Data Terms, (ii) includes any Prohibited Sensitive Data, (iii) otherwise stores or uses Permitted Sensitive Data in an unprotected manner or in violation of applicable regulation.
5.25.2 Prohibited Acts. In addition, and without limiting the other requirements in this AUP, you may not (directly or indirectly) use the HubSpot Service with content, or in a manner that:
·(i) is threatening, abusive, harassing, stalking, or defamatory;
·(ii) is deceptive, false, misleading or fraudulent;
·(iii) is invasive of another's privacy or otherwise violates another's legal rights (such as rights of privacy and publicity);
·(iv) contains vulgar, obscene, indecent or unlawful material;
·(v) infringes a third party's intellectual property right(s);
·(vi) publishes, posts, uploads, or otherwise distributes any software, music, videos, or other material protected by intellectual property laws (or by rights of privacy or publicity) unless you have all necessary rights and consents to do so;
·(vii) uploads files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another person's computer;
·(viii) downloads any file that you know, or reasonably should know, cannot be legally distributed in that way;
·(ix) falsifies or deletes any author attributions, legal or proprietary designations, labels of the origin or source of software, or other material contained in a file that is uploaded;
·(x) restricts or inhibits any other user of the HubSpot Service from using and enjoying our website and/or the HubSpot Service;
·(xi) harvests or otherwise collects information about others, including e-mail addresses, without their consent;
·(xii) violates the usage standards or rules of an entity affected by your use, including without limitation any ISP, ESP, or news or user group (and including by way of example and not limitation circumventing or exceeding equipment use rights and restrictions and/or location and path identification detail);
·(xiii) is legally actionable between private parties;
·(xiv) is not a good faith use of the service, such as uploading Contacts in excess of your Contact tier, emailing those Contacts and then purging them shortly thereafter; and/or
·(xv) is in violation of any applicable local, state, national or international law or regulation, including all export laws and regulations and without limitation the Controlling the Assault of Non-Solicited Pornography and Marketing Act (CAN-SPAM Act) (15 U.S.C. § 7701 et seq.), the U.S Telephone Consumer Protection Act of 1991 (47 U.S.C. § 227), the Do-Not-Call Implementation Act of 2003 (15 U.S.C. § 6152 et seq.; originally codified at § 6101 note), the General Data Protection Regulation (2016/679), the Directive 2000/31/EC of the European Parliament and Council of 8 June 2000, on certain legal aspects of information society services, in particular, electronic commerce in the Internal Market ('Directive on Electronic Commerce'), along with the Directive 2002/58/EC of the European Parliament and Council of 12 July 2002, concerning the processing of personal data and the protection of privacy in the electronic communications sector ('Directive on Privacy and Electronic Communications'), regulations promulgated by the U.S. Securities Exchange Commission, any rules of national or other securities exchange, including without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, the Personal Information Protection and Electronic Documents Act (PIPEDA) (S.C. 2000, c. 5), Canada's Anti-Spam Legislation (CASL) (S.C. 2010, c. 23), Japan's Act on Regulation of Transmission of Specified Electronic Mail (Act No. 26 of April 17, 2002) and any regulations having the force of law or laws in force in your or your email recipient's country of residence;
·(xvi) encourages, promotes, facilitates or instructs others to engage in illegal activity;
·(xvii) promotes, encourages, or facilitates: hate speech, violence, discrimination based on race, color, sexual orientation, marital status, gender or identity expression, parental status, religion or creed, national origin or ancestry, sex, age, physical or mental disability, veteran status, genetic information, citizenship and/or any other characteristic protected by law;
·(xviii) uses AI Agents (as defined in our Product Specific Terms) for (a) automated decision-making, or (b) any purpose that poses a material risk to health, safety, or fundamental rights, where prohibited by applicable law.
5.35.3 Non-Discrimination. Organizations or individuals who promote, encourage, or facilitate hate speech, violence, discrimination, either through their own content or through distribution of user generated content, are prohibited from using the HubSpot Service, regardless of whether the HubSpot Service is used specifically for the prohibited activities. Violation of these standards may result in termination of your use of the HubSpot Service.
5.45.4 Your Moderation Obligations. You are responsible for moderating user generated content or user activity on your platform or service. User generated content that violates these standards may result in termination of your use of the HubSpot Service.
5.55.5 Prohibited Use. You will use the HubSpot Service for your internal business purposes and will not:
·(i) willfully tamper with the security of the HubSpot Service or tamper with our customer accounts;
·(ii) access data on the HubSpot Service not intended for you;
·(iii) log into a server or account on the HubSpot Service that you are not authorized to access;
·(iv) attempt to probe, scan or test the vulnerability of any HubSpot Service or to breach the security or authentication measures without proper authorization;
·(v) willfully render any part of the HubSpot Service unusable;
·(vi) lease, distribute, license, sell or otherwise commercially exploit the HubSpot Service or make the HubSpot Service available to a third party other than as contemplated in your subscription to the HubSpot Service;
·(vii) use the HubSpot Service for timesharing or service bureau purposes or otherwise for the benefit of a third party; or
·(viii) provide to third parties any evaluation version of the HubSpot Service without our prior written consent. 6. RESTRICTED INDUSTRIES
·Some industries have higher than average abuse complaints, which can directly impact our ability to provide the HubSpot Service to other customers. To protect our customers, we reserve the right to discontinue your use of the HubSpot Services if you are in one of these industries. Some examples include: (i) Cryptocurrency (ii) Non-fungible tokens (NFTs) (iii) Escort and dating services (iv) Pharmaceutical products
·(v) Work from home, make money online, and lead generating opportunities (vi) Gambling services or products
·(vii) Multi-level marketing or affiliate marketing
·(viii) List brokers or list rental services
·(ix) Selling 'Likes' or followers for a social media platform 7. HUBSPOT TRADEMARK USE
·Unless you have our express prior written permission, you may not use any name, logo, tagline or other mark of ours or the HubSpot Service, or any identifier or tag generated by the HubSpot Service, including without limitation:
·(i) as a hypertext link to any website or other location (except as provided for or enabled expressly by us); or
·(ii) to imply identification with us as an employee, contractor, agent or other similar representative capacity. You also agree not to remove or alter any of these items as we may have provided or enabled. 8. DEVELOPER TERMS
·If you use any of our developer tools including Application Programming Interfaces (APIs), developer tools, or associated software, you will comply with our Developer Terms at https://legal.hubspot.com/hubspot-developer-terms. 9. GENERAL TERMS
9.19.1 Suspension. We may immediately suspend your access to the HubSpot Service if you breach this AUP or don't respond to us in a reasonable period after we've contacted you about a potential violation of this AUP. We may also suspend your access as we explain in our Customer Terms of Service and, if you violate this AUP, we may terminate your subscription agreement for cause.
9.29.2 Content. We may choose to remove any prohibited materials and deny access to any person who violates this AUP, and we further reserve all other rights.
·HubSpot Terms Tip: You can find details about HubSpot and the European Union Digital Services Act of 2024 at https://legal.hubspot.com/digital-services-act, which is not incorporated into this Agreement and provided for your information only.
9.39.3 Updates. We may update and change any part or all of this AUP. If we update or change this AUP, the updated AUP will be posted at http://legal.hubspot.com/acceptable-use. If you have a HubSpot subscription, we will let you know through the Notification app in your HubSpot account used to access your HubSpot subscription. If you do not have a HubSpot subscription, we will let you know by posting the revised copy on our website. When we change this AUP, the "Last Modified" date above will be updated to reflect the date of the most recent version. We encourage you to review this AUP periodically.
