·INTRODUCTION

·Purpose and Scope

·Fivetran (including all of its subsidiaries and affiliates worldwide, collectively "Fivetran") conducts its business with integrity and in an ethical, legal, and socially responsible manner by consistently striving to do the right thing for its customers. We expect the companies with whom we do business to embrace this commitment to integrity by complying with this Third Party Code of Conduct ("Code").

·Third Parties include referral partners, global systems integrators, resellers, value-added resellers, managed service providers, technology partners, suppliers, vendors, contractors, consultants, agents, or other providers of goods and services to or on behalf of Fivetran (collectively referred to as a "Third Party" or "Third Parties"). This Code sets our standards and expectations for all Third Parties.

·Fivetran is committed to achieving the highest standards of professionalism and ethical conduct, upholding our values, and ensuring that any Third Parties that we work with, represent us, or help serve our customers abide by the Code. We aim to develop strong partnerships based on a shared commitment to serving our customers in a fair, ethical, and collaborative way. The actions of Third Parties reflect on us as a company and our reputation. We take this seriously; the standards in this Code are in addition to, not in replacement of, the provisions of any contractual agreement between a Third Party and Fivetran. Third Parties are expected to read this Code carefully, understand how it applies to their business, accept it as a condition of doing business with Fivetran, and take steps to ensure they comply with the expectations contained in this Code.

·PRINCIPLES

·PLAY BY THE RULES - At Fivetran, we are guided by our core values and show up with integrity. We do the right thing, even when it's harder in the short run. We challenge the status quo by reasoning from principles and show up with integrity in everything we do. By extension, we expect our Third Parties to share in this commitment to integrity and play by the rules.

·TOGETHER WE'RE STRONGER - At Fivetran, we believe in a one-team, one-dream mentality. This means that Fivetran, and any Third Party doing business with us, share in the pains and successes of our customers and work together to go above and beyond for each other and our customers.

·NURTURING ACCOUNTABILITY - At Fivetran, we take the initiative and ownership to get "stuck in." This means we don't shy away from hard problems, we dig in to understand the issues, and are accountable for the outcomes. Third Parties who do business with us and on our behalf are expected to share this same commitment to accountability.

·PLAY BY THE RULES

·Legal Compliance

·Third Parties should implement and maintain a compliance program, policies, procedures, and a system of internal controls sufficient to ensure its compliance with all laws applicable to it in connection with, or in any way relevant to, its relationship with Fivetran and the standards required by this Code. Third Parties are responsible and liable for any non-compliance with this Code by any of its agents, suppliers, resellers, subcontractors, or any other individuals engaged by the Third Party to conduct business on Fivetran's behalf.

·This Code is not intended to reduce or limit any other legal or regulatory obligations that a Third Party may have or the contractual obligations that a Third Party has with Fivetran.

·Anti-Bribery and Anti-Corruption

·At Fivetran, we conduct business honestly and fairly. We are committed to complying with applicable laws and regulations related to anti-bribery and anti-corruption and expect the same standards from Third Parties. We do not offer, give, or pay bribes, kickbacks, or anything of value, nor do we accept them. Likewise, we do not authorize our business partners or other third parties to offer, give, or accept bribes or kickbacks on our behalf.

·Third Parties must also take special care when entering into relationships with government officials or entities on Fivetran's behalf. Third Parties must never offer, authorize, or provide anything of value to obtain an improper business advantage or influence a government official. Any offering or receiving of a thing of value with a government official or entity on Fivetran's behalf requires pre-approval in writing from Fivetran's Legal Department.

·Fair Competition

·We succeed through fair and honest competition, not through unethical practices. To compete fairly in the marketplace, we comply with the antitrust and competition laws everywhere we do business. Third Parties should refrain from discussing pricing, terms, or marketing plans with our competitors whether at trade association meetings, in informal settings or otherwise. Third Parties must also never collude with anyone to fix prices or engage in other conduct that would violate antitrust or fair competition laws.

·Global Trade Compliance and Anti-Money Laundering

·Third Parties are expected to conduct business in compliance with all applicable trade sanctions, export and import controls, and anti-money laundering laws and regulations that may limit where, how, and to whom Fivetran can send, sell or receive products, services and information. Fivetran prohibits the procurement of goods or services from and sale of goods or services to any individuals or entities or in territories subject to trade embargoes or economic sanctions, including through Third Parties. In addition, Fivetran expects Third Parties to maintain processes and protections to remain compliant with global trade and anti-money laundering laws which, in turn, helps us remain compliant.

·Conflicts of Interest

·When personal, social, or financial interests or obligations are placed above those of Fivetran, it may create a conflict of interest with a Third Party's obligation to act in Fivetran's best interest. Conflicts of Interest may expose the Third Party's personal judgment and Fivetran's business to increased scrutiny and criticism and can undermine our credibility and reputation. As such, any relationship, financial or otherwise, with any person or entity that conflicts, could potentially conflict, or even simply appears to conflict with an individual's obligation to act in the best interest of the Third Party or Fivetran is prohibited.

·It is the Third Party's responsibility to fully and proactively disclose any actual or potential conflicts of interest, including situations that may create the appearance of a conflict, to the Fivetran Legal Team.

·Meals, Gifts, and Entertainment

·Giving and accepting meals, gifts, and entertainment can help build and maintain good working relationships with customers, business partners, and other third parties. But the exchange of meals, gifts, and entertainment that are excessive, frequent, used to influence or create obligations, or lack a legitimate business purpose can expose Fivetran and Third Parties to legal or reputational risk, as they may create a conflict of interest, improperly influence business decisions, or impair Fivetran's ability to compete openly and fairly. As such, Third Parties are expected to give and accept only meals, gifts, and entertainment that are reasonable and professional in compliance with applicable law.

·Financial Integrity and Recordkeeping

·Maintaining complete and accurate records and reporting of information is critical to ensuring that both Fivetran and Third Parties can operate a successful business by making appropriate and responsible business decisions in accordance with the law. Fivetran expects that Third Parties maintain accurate, complete, and appropriately authorized information in their business systems and during financial reviews in accordance with generally accepted accounting principles and in conformity with applicable legal requirements.

·Third Parties must never intentionally evade or undermine our processes, whether by altering or falsifying documents, misleading or failing to provide accurate information to Finance, Legal, or company-designated auditors, refusing to cooperate in company audits or investigations, or creating records or communications of any kind that mischaracterize or conceal the truth. The use of fraudulent business documentation, unofficial accounts, or any misrepresentation in our partnership is strictly prohibited. We expect transparency and honesty in all our dealings to maintain a trustworthy and ethical business relationship

·Safeguarding Privacy and Proprietary Information

·Fivetran recognizes and respects the intellectual property rights of others and is committed to protecting confidential information and complying with all applicable data protection and privacy laws in its operating countries. Third Parties must share these commitments to respect intellectual property rights of Fivetran and others, protect confidential information and comply with privacy rules and regulations. Third Parties are responsible for complying with all contractual obligations related to properly handling and protecting all Fivetran intellectual property (including any patents, trademarks, copyrights, confidential information, and trade secrets). Third Parties should not misuse another's intellectual property or disclose it to another Third Party without proper protection. Third Parties must notify Fivetran if they become aware of any unauthorized access, use, disclosure, or loss (including theft) of Fivetran's intellectual property.

·Fivetran is committed to complying with all applicable data protection and privacy laws. All Third Parties should carefully and appropriately safeguard all personal information they acquire or have access to by virtue of their work with Fivetran. Accessing, using, or sharing Fivetran business or personal data is strictly prohibited without a legitimate business purpose and in a manner consistent with the performance of the Third Party's responsibilities to Fivetran. Prior to sharing any information related to another Third Party that is personal and/or confidential, the Third Party will ensure that it has obtained the necessary consent from such party, or that such disclosure complies with applicable data protection law.

·TOGETHER WE'RE STRONGER

·Human Rights and Fair Labor Practices

·Fivetran firmly believes in treating everyone with dignity, fairness, and respect. We comply with labor and employment standards, laws, rules, regulations, and policies everywhere we operate, and all individuals and organizations that work with Fivetran must do the same. Fivetran does not permit use of forced labor or human trafficking - and expects all Third Parties with whom we do business to uphold the same ethical standards. ·Environmental Responsibility

·Third Parties must comply with all applicable environmental laws, regulations, permits, and reporting requirements. Third Parties are expected to maintain appropriate environmental policies, internal controls, and training programs to manage their environmental footprint. Where relevant to the goods or services provided to Fivetran, Third Parties are encouraged to strive to conduct business in an environmentally responsible manner, consider the environmental impacts of their actions, and to take efforts to reduce their carbon footprints when completing work for Fivetran.

·Cooperation

·Third Parties are expected to cooperate with Fivetran's periodic requests for documents and/or information made in connection with Fivetran's Third Party onboarding and due diligence processes and any investigation or audit by Fivetran relating to any suspected or alleged violation of Fivetran policies or the law. Third Parties are obligated to provide truthful and accurate responses to all requests for information and respond within a reasonable amount of time.

·If a Third Party is ever involved in an investigation, audit, or other inquiry conducted by representatives of Fivetran, Third Party must cooperate fully and completely and provide truthful and accurate information.

·NURTURING ACCOUNTABILITY

·Reporting and Non-Retaliation

·If a Third Party knows, believes, or suspects a violation of the Code, our policies, or applicable law, the Third Party must immediately seek guidance or report such information to their primary Fivetran contact or Fivetran's Legal Department. Any Fivetran employee who receives a report of an actual or suspected violation of this Code or applicable law will immediately inform their supervisor or Fivetran's legal or compliance functions.

·Fivetran values openness, transparency, and honesty. Fivetran does not tolerate retaliation against Third Parties who, in good faith, raise concerns or ask questions, make reports, participate in an investigation, refuse to participate in suspected improper or wrongful activity, or exercise workplace rights protected by law. Third Parties who witness retaliation or believe they have been retaliated against should report their concerns immediately to Fivetran at Ethics@fivetran.com or Fivetran's Hotline via AllVoices. Fivetran also expects that Third Parties will take steps to ensure their employees and those engaged on Fivetran's behalf are able to raise concerns without fear of retaliation.

·Consequences for Violations

·Violations of this Code, Fivetran policies, or applicable laws and regulations may be subject to appropriate actions, including suspension or termination of the Third Party's relationship with Fivetran and cancellation of any pending fees, rebates, and/or benefits due to the Third Party pursuant to applicable law.
