·Scope and Relationship to Agreement

·This EU Data Act Addendum ("EUDA Addendum") applies to Customers whose use of the Fivetran products and services ("Fivetran Products") is subject to Regulation (EU) 2023/2854 of the European Parliament and of the Council of 13 December 2023 (the "EU Data Act"). This EUDA Addendum supplements the terms of the Master Subscription Agreement for Customer's use of the Fivetran Products (the "Agreement") entered into between Fivetran Inc. ("Fivetran") and you ("Customer"). Capitalized terms used but not defined herein have the meanings given to them in the Agreement or, if not defined in the Agreement in the Master Subscription Agreement located at https://www.fivetran.com/legal (or a successor URL designated by Fivetran).

11. Data Portability and Switching

  • 1Right to Switch. Customer may export its exportable data and cease using the Fivetran Products by providing two (2) months' prior written notice to Fivetran to switch to a data processing service offered by a different provider, including by pausing Fivetran syncs, requesting that Fivetran freeze Customer's account, or terminating its subscription and requesting account deletion.
  • 2Convenience Copies. Customer acknowledges that all data sent through the Fivetran Products is a convenience copy and that Customer will port any other data related to its account before requesting account deletion.
  • 3Termination/ Refunds. The Order Form(s) may be terminated by providing two (2) months' prior written notice for (i) Switching or (ii) Data Deletion. Unless prohibited by applicable law, Customer will remain responsible for payment of all Fees that: (i) have accrued as of the effective date of termination, and (ii) become due to Fivetran under the applicable Order Form through the end of the subscription term, including any Fees that would otherwise have been payable had the Order Form not been terminated early (e.g., for an Order Form with a three year term, which was terminated in year one, Customer would remain responsible for payment in full for years two and three). For the avoidance of doubt, Customer will not be entitled to a refund of any Fees pre-paid to Fivetran prior to termination of the applicable Order Form.

22. Fivetran Assistance; Continuity and Security

  • 1Reasonable Assistance. Fivetran will provide reasonable assistance to Customer and to third parties authorized by Customer in the switching process, including assisting with export of Customer's data and facilitating account deletion upon termination.
  • 2Business Continuity. Fivetran will act with due care to maintain business continuity and will continue to provide the Fivetran Products (i) through termination of the Agreement or applicable Order Form, or (ii) during Customer's switch to a different provider, as applicable.
  • 3Security Measures. Fivetran's standard security measures, as further described in the Fivetran MSA, will continue to apply.

33. Exportable Data and Documentation

·A list of data and digital assets that can be exported (including logs, Fivetran platform connector logs, and audit trail log events) is available in Customer's Fivetran account and is listed in Fivetran's documentation as set forth below:

44. Account Deletion and Data Retention

·Upon termination and completion of the switching process, Fivetran will initiate deletion of Customer's Fivetran account after ninety (90) days, unless (a) Customer has requested assistance for the switching process that reasonably requires a longer retention period, or (b) Customer requests that Fivetran pause deletion. For more information on Fivetran's data retention practices, see https://fivetran.com/docs/security-and-privacy/privacy#retentionofcustomerdata.

55. Customer Obligations

  • 1Self-Switching. Customer will use Fivetran's self-switching functionality to export exportable data and digital assets necessary for the switching process.
  • 2Additional Services. Any assistance related to the switching process not expressly included in the Agreement or this EUDA Addendum will be subject to the parties' execution of a statement of work.

66. Order of Precedence; Updates

·Notwithstanding anything to the contrary in the Agreement, in the event of any conflict between the Agreement (including any terms incorporated therein) and this EUDA Addendum, this EUDA Addendum shall control. Any updates will become effective for Customer upon renewal or entry into a new Order Form after any updates go into effect. Notwithstanding the foregoing, in some cases (e.g., to address compliance with laws, or as necessary for new features) Fivetran may specify that such updates become effective during Customer's then-current subscription term. Fivetran may provide notice to Customer of any such updates through Customer's account, an email to Customer's email address, an in-product notification or by posting such update on Fivetran's website, and Fivetran will otherwise provide a copy of any such update upon written request by Customer.
