·Software and Service Specific Requirements for the Free Plan

·Effective October 20, 2026

·These Software and Service Specific Requirements for the Free Plan (these "Requirements") apply to customers that have been granted free (unpaid) access to Fivetran Product features available on the Fivetran Standard plan or dbt State, subject to the usage limits described below (the "Free Plan" or "Free Plan Product"). These Requirements supplement the terms of the Master Subscription Agreement or other agreement for Customer's use of the Fivetran Products and Professional Services or dbt State (the "Agreement") entered into between Fivetran Inc. or dbt Labs, LLC (as successor in interest to dbt Labs, Inc.) ("Fivetran") and you ("Customer"). Capitalized terms used but not defined herein will have the meanings given to them in the Agreement or, if not defined in the Agreement, in the Master Subscription Agreement located at https://www.fivetran.com/legal, or such successor URL as may be designated by Fivetran. By accessing the Fivetran Products or dbt State under a Free Plan, Customer agrees to be bound by these Requirements. If you are agreeing on behalf of an organization, you represent and warrant that you have the authority to bind that organization, and every reference to "Customer," "you" or "your" hereinafter shall be deemed to refer to such organization.

11. DEFINITIONS

  • ·"Activation" means one or more instances of an Activation Sync from a single data source (e.g. Snowflake) to a single destination (e.g. Salesforce).
  • ·"Activation Sync" means, with respect to Reverse ETL, a single configured instance of a data pipeline from a data source's dataset or table to an object in a destination (e.g. Contact, Account, etc).
  • ·"Connection" means, with respect to Data Pipelines and Transformations, a single instance of a data pipeline that extracts, loads, and, if selected, transforms data using a Connector. For the avoidance of doubt, Connection as defined herein does not apply to Reverse ETL.
  • ·"Connector" means a tool Fivetran provides to integrate a specific data source with a destination to create a Connection or Activation.
  • ·"Data Pipeline" means a Fivetran Product offering that extracts, loads and, where applicable, transforms data from customer-specified sources to customer-specified destinations using Connectors. Data Pipeline as defined herein does not include Reverse ETL.
  • ·"Dbt State" means a product offering that enables dbt to reuse nodes by cloning from another location or skipping a rebuild when the logic and data haven't changed.
  • ·"Reverse ETL" means a Fivetran Product offering that extracts data from Customer's data warehouses and loads such data into customer-specified destinations, including business applications and systems, using Connectors. For the avoidance of doubt, Reverse ETL does not include the transformation, hosting, or orchestration of data transformation workflows.
  • ·"Target Table" means a database object managed by Customer's dbt project for a given database and schema name, including seeds, snapshots, dbt models (including incremental models), and each distinct test (even if the tests are not built into the database because store_failures is disabled), where dbt State is able to reuse the Target Table based on Customer's configuration rules. (For example, if stg_customers has not_null and unique tests on its id column, there are three Target Tables: the model and its two tests).
  • ·"Transformations" means a Fivetran Product offering that gives Customers the ability to set up, host and/or orchestrate data transformation workflows in Customer's data warehouses. For the avoidance of doubt, Transformations as defined herein do not apply to Reverse ETL.

22. FREE PLAN SUBSCRIPTION TERM.

·The Free Plan Product is available free of charge until the earlier of (a) the date on which Customer's free subscription is terminated or (b) the start date of Customer's paid subscription.

33. USAGE LIMITS.

3.13.1 Accounts; Partners. Customer shall only have a single account on the Fivetran Free Plan ("Account"). Use of the Free Plan is subject to Fivetran's Acceptable Use Policy. The Free Plan will not be used to support the end use of Fivetran Products by any other party, and Customer will not create multiple Accounts on the Free Plan or create Free Plan Accounts on a third party's behalf. If Customer is a Fivetran Partner or Fivetran PBF customer, Customer shall abide by the terms of the relevant partner agreement and/or PBF terms, as applicable.

3.23.2 Free Plan Usage Limit. Customer may move up to 500,000 Monthly Active Rows ("MAR") for Connections; up to 3,500 MAR for Activations; up to 5,000 Monthly Model Runs per month; and up to 1,000 DATT per month using the Free Plan ("Free Plan Usage Limit"). MAR and Monthly Model Runs are calculated as described in the Service Consumption Table.

·(a) With regard to MAR and Monthly Model Runs only, if Customer exceeds the Free Plan Usage Limit in any given month (an "Overage Month"):

  • ·First Overage Month: Fivetran will notify Customer, but will not suspend the Account. Customer's existing Connections and/or Activations will continue to operate; however, Customer may not add any new Connections or Activations until the following month.
  • ·Second Overage Month within a twelve (12) month period: If Customer exceeds the Free Plan Usage Limit in a second Overage Month within any twelve (12) month period, Customer will no longer be eligible to use the Free Plan, at which time Fivetran may pause Customer's Connections and/or Activations, suspend the Account, and terminate Customer's access to the Free Plan.

·Note: the above applies if Customer exceeds any of the Free Plan Usage Limits. For example, if Customer exceeds the 3,500 MAR limit for Activations but does not exceed the MAR limit for Connections, that would still constitute an Overage Month. (b) If Customer's Account is suspended pursuant to this Section, Customer may unfreeze its Account by upgrading to a paid plan and inputting payment information through Customer's Account dashboard. With regard to dbt State only, if Customer's use of dbt State exceeds the Free Plan Usage Limit in a given calendar month, Fivetran will not suspend or terminate the Customer's dbt State plan. Customer's dbt State configuration will remain in place, and Customer's runs will continue as normal. However, dbt State functionality (including skipping jobs) will be paused for the rest of that calendar month. The dbt State Free plan Usage limit will reset, and dbt State functionality will resume, at the start of the next calendar month.

44. MODIFICATIONS TO THE FREE PLAN.

·Fivetran may modify the Free Plan, including the Free Plan Usage Limit, at any time, in its sole discretion, without prior notice to Customer, and in ways that may materially reduce or eliminate the functionality provided to Customer.

55. EFFECTIVE DATE AND UPDATES TO THESE REQUIREMENTS.

·These Requirements take effect the first time Customer accesses the Fivetran Product or dbt State on the Free Plan and shall continue in full force and effect until (a) the date on which Customer's Free Plan subscription is terminated or (b) the start date of Customer's paid subscription. If Customer upgrades to a paid subscription for the applicable Fivetran Product or dbt State, the Agreement will continue to apply. Fivetran may periodically update these Requirements by posting a revised copy at https://www.fivetran.com/legal/service-specific-requirements.

66. MISCELLANEOUS.

·Except as otherwise set forth in these Requirements, the terms of the Agreement including, without limitation, any disclaimers, limitations of liability and governing law provisions set forth therein, will apply to Customer's use of the Free Plan Product. Notwithstanding anything to the contrary in the Agreement, Fivetran reserves the right to suspend Customer's access to or prohibit the use of the Free Plan if Fivetran deems such suspension necessary as a result of Customer's breach of these Requirements.
