11. Purpose and Scope
·These Marketplace Terms (these "Terms") apply to customers that purchase Fivetran Products, including any eligible Professional Services, through a third-party marketplace through which Fivetran offers the Fivetran Products or Professional Services and that is expressly authorized by Fivetran, including Snowflake Marketplace, Google Cloud Platform Marketplace, Microsoft Azure Marketplace, and Amazon Web Services Marketplace (each, an "Authorized Marketplace Provider"). These Terms supplement the terms of the Master Subscription Agreement or other agreement governing Customer's use of the Fivetran Products and Professional Services (the "Agreement") entered into between Fivetran Inc. ("Fivetran") and Customer. Capitalized terms used but not defined herein will have the meanings given to them in the Agreement or, if not defined in the Agreement, in the Master Subscription Agreement located at https://www.fivetran.com/legal (or such successor URL as may be designated by Fivetran).
22. Marketplace Transactions
- ·Customer agrees to purchase Fivetran Products, including any eligible Professional Services, through an Authorized Marketplace Provider and will be billed directly by such marketplace provider. Overages may be billed through the marketplace or separately by Fivetran, as applicable.
- ·Authorized Marketplace Providers act only as billing and collection agents. Any additional or conflicting marketplace terms set forth by such providers are not binding on Fivetran.
- ·No separate Order Form may be required. Customer's acceptance of the marketplace transaction constitutes a binding order with Fivetran.
33. Service Terms and Discounts
·Customer's use of Fivetran Products and any eligible Professional Services purchased through an Authorized Marketplace Provider is subject to the Service Consumption Table which is incorporated by reference into the Agreement.
·If applicable, Customer's Monthly Spend, as determined under the Service Consumption Table, may be subject to a promotional discount provided through the marketplace or by a Fivetran representative. Such discounts are not guaranteed for future transactions.
44. Purchase Orders and Tax Responsibilities
- ·Purchase Orders are not required for marketplace transactions. If this is inaccurate, Customer should contact their Fivetran Account Executive.
- ·All pricing presented through the marketplace, including for any eligible Professional Services, is exclusive of applicable taxes. Taxes will be calculated and added at the time of invoicing.
- ·If Customer is tax-exempt, it is responsible for providing valid exemption documentation. If none is provided, applicable taxes will be charged and Customer must resolve disputes directly with tax authorities.

·Product descriptions and license requirements are detailed below:

Security: Individual 2-Step Verification, Single Sign-on (SSO), User-Based Roles and Permissions, Account-level 2-Step Verification, End-to-end data encryption, Direct Connection, SSH Tunnel, Reverse SSH Tunnel, VPN Tunneling, Private Networking (AWS PrivateLink, Azure PrivateLink, Google Private Service Connect), Customer-managed keys, Custom Roles. License: License extends to Affiliate-owned data. Organizations: Centralized hub for managing multiple Fivetran accounts within a single organization. Support: Dedicated Customer Success Manager, 24/7 Issue Submission, 1-hour initial support response time. Fivetran HVR: Full access to Fivetran HVR, a self-hosted heterogeneous database replication software that supports a distributed architecture to and from a number of Database Management System (DBMS) types and to data lake destinations. Its replication capabilities include: full and partial historical syncs (refresh) for batch (initial) loading of data, continuous Change Data Capture (CDC), integration capability to apply the changes to the target location, compare and repair feature to ensure that the data are in sync, basic RBAC (role based access controls) for read and write access to local data processing hubs, alerts for errors and high data latency, browser-based administrative console and access to HVR REST API to configure, monitor and manage replication, customizable data type mapping. Hybrid Deployment: Full access to Hybrid Deployment architecture for the Fivetran Product. Deploy on-prem data processing components in customer's controlled environment. |

66. Effective Date and Updates to these Terms
·These Terms take effect immediately upon Customer's purchase or use of Fivetran Products through an Authorized Marketplace Provider. Fivetran may update these Terms from time to time, including the associated Product Descriptions, Professional Services Addendum, and Service Consumption Table referenced herein. Any such updates will become effective for Customer upon renewal of an existing subscription or entry into a new transaction through an Authorized Marketplace Provider after the updates go into effect. Notwithstanding the foregoing, in some cases (e.g., to address compliance with laws or to support new features), Fivetran may specify that such updates become effective during Customer's then-current subscription term. Fivetran may provide notice of such updates via Customer's account, email, in-product notification, or by posting an updated version on Fivetran's website, and will provide a copy upon written request by Customer.
77. Miscellaneous
·Except as otherwise set forth in these Terms, the terms of the Agreement, including without limitation any disclaimers, limitations of liability, and governing law provisions contained therein, will apply to Customer's purchase and use of Fivetran Products through an Authorized Marketplace Provider, including any eligible Professional Services.
